1. Agreement to these terms
These Terms of Service (“Terms”) govern your access to and use of the ShiftSeat platform, including our mobile applications and websites (together, the “Platform”), operated by ShiftSeat, LLC, a Florida limited liability company (“ShiftSeat,” “we,” “us”).
By creating an account, you agree to these Terms. If you do not agree, do not use the Platform.
These Terms govern your use of the Platform itself. A separate agreement — the Engagement Agreement — governs each individual engagement between an ISP and a Driver, and is entered into through the Platform. Where the two documents address the same subject, the Engagement Agreement controls for matters within that engagement, and these Terms control for matters concerning the Platform.
2. What ShiftSeat is, and is not
ShiftSeat operates a marketplace where fleet owners (“ISPs”) post trucks that need drivers, and qualified drivers (“Drivers”) apply to those engagements. The Platform provides matching, documentation, escrow payment, and evidence infrastructure.
ShiftSeat is not a party to the working relationship between any ISP and any Driver. ShiftSeat is not a motor carrier, not a freight broker, not an employer of any Driver, and not an agent of any party. We do not direct, control, or supervise any Driver’s work, and we do not initiate, assign, or dispatch loads. Loads are assigned by the motor carrier under whose authority a truck operates, through that carrier’s own systems.
We do not guarantee that any listing will attract applicants, that any application will be accepted, or that any engagement will be funded or completed.
3. Eligibility and accounts
You must be at least 18 years old and legally able to enter into contracts.
To use the Platform as a Driver, you must hold a valid commercial driver’s license and any endorsements required for the engagements you pursue, and you must be qualified within the carrier network in which the engagement operates.
To use the Platform as an ISP, you must be authorized to offer the trucks you list and to enter into agreements concerning them.
You are responsible for the accuracy of the information in your account, for keeping your credentials current, and for everything that happens under your login. Notify us promptly at support@shiftseat.ai if you believe your account has been compromised.
One account per person or entity. Do not share logins, create duplicate accounts, or use another person’s account.
4. Listings, applications, and engagements
An ISP posting a truck is making an offer on the terms stated in the listing. Those terms — daily rate, engagement dates, lane, holdover pay, breakdown pay, return location, and any declared cleaning or damage cap — are captured as a snapshot when a Driver applies, and that snapshot governs the resulting engagement regardless of later changes to the listing.
If a term is not posted, it is not a term of the engagement.
Listings are subject to a minimum daily rate per ShiftSeat-matched Driver, published on the Platform.
Listing photographs are illustrative only. The inspection record taken at pickup is the sole condition baseline for an engagement.
5. Fees
Drivers pay nothing. No fee, charge, commission, or deduction is ever taken from a Driver by ShiftSeat, whether for applying, being matched, being paid, or any other use of the Platform.
ISPs pay a platform service fee of 7.5% of base daily-rate compensation, charged in addition to — never deducted from — Driver compensation. Holdover Pay, Breakdown Pay, and other approved incidentals carry no platform fee.
Fees for conversions are set out in the Engagement Agreement.
6. Acceptable use
6.1 General
Do not use the Platform to break the law, to harass or defraud anyone, to misrepresent yourself or your equipment, to interfere with the Platform’s operation, or to access accounts or data you are not entitled to.
Do not post content that is unlawful, defamatory, threatening, obscene, or that infringes anyone’s rights.
6.2 Payment through the Platform
All compensation for engagement work arranged through the Platform is paid through the Platform. The parties to an engagement agree not to pay or accept payment for that work outside it.
6.3 Contact information and circumvention
Before an engagement is funded into escrow, the Platform withholds contact information between an ISP and a Driver. Communication during that period takes place through the Platform’s message threads. Contact information is disclosed when the engagement is funded.
Do not attempt to exchange contact information before an engagement is funded, and do not attempt to obscure contact information through spelling, formatting, character substitution, indirect reference, or any other means.
Where contact information is shared without apparent attempt to conceal it, the Platform withholds the information and notifies you. No further consequence follows.
Where an attempt is made to conceal contact information, or where an attempt continues after notice, or where a pattern appears across conversations, ShiftSeat may suspend the account.
This restriction exists because the protections of an engagement — escrowed pay, the documented inspection record, breakdown pay, and the ability to decline a truck without penalty — exist only inside the Platform. An arrangement made outside it carries none of them, and the party with the most to lose is usually the Driver.
6.4 Account suspension
A suspended account cannot send or receive messages, view or publish listings, or apply to or accept engagements. An ISP’s published listings are unpublished for the duration of the suspension.
A suspended account holder can still sign in, see the reason for the suspension, and contact us.
Suspension does not affect any engagement already funded. Communication, inspection, and completion of a funded engagement continue unaffected, and suspension does not affect any amount owed to or by the account holder under any Engagement Agreement.

7. The Platform record
The Platform maintains a timestamped, and where applicable location-stamped, record of engagement events — inspections, photographs, load records, milestones, messages, agreements, and acknowledgments.
You agree that this record is the authoritative evidentiary record of Platform events in any dispute between users. Each user consents to the collection of location and timestamp data in connection with engagement events for this purpose.
Messages sent through the Platform are retained as part of this record.
8. Credentials and confidentiality
Driver carrier identification numbers are collected for verification only. They are never displayed publicly, never included in emails or documents, and are disclosed in-app only to the ISP for a funded engagement, with each access logged.
Users shall not disclose one another’s credentials, identification numbers, or non-public information obtained through the Platform, and shall use such information only for the engagement to which it relates.
9. Payments and third-party services
Payments are processed through Stripe. By using the Platform’s payment features you also agree to Stripe’s terms. ShiftSeat does not store full payment card or bank account numbers.
The Platform records engagements and fleet transfers executed through a motor carrier’s own systems. Those carriers are independent third parties. Their decisions — including qualification, fleet transfer, dispatch, and load assignment — are theirs alone, and ShiftSeat neither controls nor guarantees them.
10. Your content
You retain ownership of the photographs, notes, and other content you submit. You grant ShiftSeat a non-exclusive licence to host, store, reproduce, and display that content as needed to operate the Platform, to provide the evidentiary record described in Section 7, and to resolve disputes.
You are responsible for having the right to submit what you submit.
11. Privacy
Our handling of personal information is described in our Privacy Policy, available at https://shiftseat.ai/privacy/.
12. Availability
We aim to keep the Platform available, but we do not guarantee uninterrupted access. We may modify, suspend, or discontinue features. Where a change materially affects engagements already underway, we will give notice through the Platform.
13. Ending your use
You may deactivate or delete your account through the Platform at any time. Deactivation hides your profile, unpublishes listings, and withdraws pending applications; it does not affect signed engagements, inspections, payment history, or records we are required to retain.
We may suspend or terminate an account for breach of these Terms, for conduct that puts other users at risk, or where required by law.
Termination does not extinguish obligations under any Engagement Agreement, including amounts owed, conversion obligations, and confidentiality.
14. Disclaimers
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
ShiftSeat does not verify the condition of any truck, the accuracy of any listing, the qualifications of any user beyond what the Platform records, or the conduct of any user. Users are responsible for their own due diligence, and the inspection process exists for that purpose.
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHIFTSEAT IS NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, OR EQUIPMENT DAMAGE, ARISING FROM YOUR USE OF THE PLATFORM.
SHIFTSEAT’S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE PLATFORM FEES YOU PAID TO SHIFTSEAT IN THE SIX MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
Nothing in these Terms limits liability that cannot be limited under applicable law.
16. Disputes and governing law
These Terms are governed by the laws of the State of Florida, without regard to conflicts principles.
Disputes between users concerning an engagement are governed by the Engagement Agreement and should first be addressed using the Platform record.
Disputes between you and ShiftSeat shall be brought in the state or federal courts located in Polk County, Florida, and you consent to the jurisdiction of those courts.
Before filing, we ask that you contact us at support@shiftseat.ai so we can try to resolve the matter directly.
17. Indemnification
You agree to indemnify and hold harmless ShiftSeat, its members, officers, and agents from claims, damages, and reasonable costs arising from your use of the Platform, your breach of these Terms, your breach of an Engagement Agreement, or your operation of any vehicle.
18. Changes to these Terms
We may update these Terms. Material changes will be notified through the Platform or by email before they take effect. Continued use after the effective date constitutes acceptance. Changes do not alter Engagement Agreements already executed, which are governed by the terms version captured at signing.
19. General
If a provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. You may not assign your rights under these Terms without our consent; we may assign ours in connection with a merger, acquisition, or sale of assets.
Sections 5, 6.2, 6.3, 7, 8, 10, 14, 15, 16, and 17 survive termination.
20. Affiliation disclosure
ShiftSeat, LLC and Miles 2 Go Transport, LLC are affiliated companies under common ownership. Miles 2 Go Transport lists trucks on the Platform on the same terms as any other ISP.

ShiftSeat is independently owned and operated and is not affiliated with, endorsed by, or sponsored by FedEx Freight Holding Company, Inc., FedEx Custom Critical, Inc., FedEx Corporation, or any of their subsidiaries or affiliates. FedEx® and FedEx Custom Critical® are trademarks of their respective owners.
